1. Acceptance of Official Rules. By entering this Sweepstakes, you hereby accept and agree to these official rules (the "Official Rules") of this Sweepstakes, and the decisions of the Administrator in connection with this Sweepstakes, whose decisions are final.

2. Eligibility. This sweepstakes is offered and open to legal residents of the fifty (50) United States and the District of Columbia at least eighteen (18) years of age or older or age of majority in their state of residence as of the date of registration into the Sweepstakes and who are registered users (i.e. successfully obtain user ID and password) (“Registered Users”) on any one or more of the following CBS Interactive Web sites: cbs.com, CBSSports.com, CBSgames.com, CBSnews.com, NCAASports.com, NFL.com, theinsideronline.comand/or ETonline.com (“CBS Interactive Sites”). Employees, officers, directors (including immediate family members and members of the same household) of the Sweepstakes Entities, their parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors and any and all other companies associated with this Sweepstakes are not eligible to participate in this Sweepstakes. For purpose of the foregoing "immediate family" means parents, spouses, children, siblings or any members of the same households of such employees and directors. This Sweepstakes is void in Puerto Rico, all US territories and possessions and where prohibited by law. Subject to all applicable federal, state & local laws & regulations. U.S. law governs this Sweepstakes. 3. Start/End. This Sweepstakes begins on Tuesday, February 12, 2008 at 10:00 PM ET/PT Eastern Time (ET)/Pacific Time (PT) and ends at 11:59 PM ET on Wednesday, February 13, 2008 (the "Promotion Period"). The broadcast of Jericho is subject to preemption and schedule changes. Should Sponsor at its discretion shift any broadcast date of Jericho notice of shift will be posted online at the www.cbs.com/primetime/jericho Web site. Also please check local television listings for Jericho broadcast date and time in your area. Sponsor is the official timekeeper for this Sweepstakes.

4. How to Enter:To enter the Jericho Rising House Party Sweepstakes during the Promotion Period go online go to www.cbs.com/primetime/jericho and follow the instructions to complete the Sweepstakes entry form, including, without limitation, submitting your ID and Password and the correct answer to the question about the Jericho episode broadcast on February 12, 2008. Click where instructed on online entry form to submit. All eligible entries with the correct answer to the question will be placed into a single random drawing to select one (1) Grand Prize winner and ten (10) first prize winners. If you are not a Registered User see rule #2 for instructions on how to become a Registered User. There is no fee or charge to you to become a Registered User. LIMIT ONE ONLINE ENTRY PER REGISTERED PARTICIPANT. Any attempt by any person to enter in excess of the disclosed entry limit will void excess entries and any prize consideration in connection with this Sweepstakes.

5. Prize Drawings/Winner Notification/Odds: One (1) Grand Prize winner (“Potential Grand Prize Winner”) and ten (10) First place winners will be randomly selected from all eligible entries who correctly answered the question and were received during the Promotion Period. The prize drawing will be conducted on February 15, 2008. A representative of Marden-Kane will attempt to contact the Potential Grand Prize Winner personally between 9:00 AM ET and 6:00 PM ET on day of drawing via the phone number and/or e-mail address provided on the registration/online entry form. If unable to reach any Potential Grand Prize Winner after one call attempt, the agent of Sponsor retains sole discretion to disqualify the entrant and will attempt to contact an alternate entrant until such time that direct contact is made with an entrant. Drawing(s) will be conducted under the supervision of Marden-Kane Inc., an independent judging organization whose decisions are final and binding on matters relating to this Sweepstakes. Potential Winners are subject to verification of eligibility and rules compliance. First Prize winners will be contacted by e-mail to coordinate the delivery of their prize. Odds of winning a Prize depends on the number of eligible entries received.

6. Prizes: (1) Grand Prize (the "Grand Prize"): A 3-Day/2-Night trip to San Francisco, CA for Grand Prize winner and guest featuring a visit with cast members of Jericho at WonderCon2008 (a comics and pop culture convention held at the Moscone Center) plus $500 cash. Grand Prize consists of round-trip coach air transportation for winner and guest to San Francisco, CA from a single major U.S. gateway airport nearest winner’s home (as determined by Sponsor), double occupancy standard hotel accommodations for two (2) nights, admission to WonderCon2008 and escorted visit with any available cast members of Jericho, ground transfers in San Francisco from hotel to WonderCon2008. Trip destination and dates are at the sole discretion of Sponsor and producer’s production schedules. Trip tentatively scheduled to arrive in San Francisco on Friday, February 22, 2008 and depart on Sunday, February 24, 2008. Winner will receive less than 10 days notice prior to trip departure. If WonderCon2008 is canceled, rescheduled (or, if for any reason, Sponsor is unable to provide the visit to WonderCon2008 and visit with available Jericho cast members or if the Grand Prize winner cannot take the trip to be in San Francisco on the dates specified by the Sponsor, the Sponsor shall have no further obligation to the Grand Prize winner and guest other than to supply the trip to San Francisco as described within one (1) year from date of prize notification, minus the WonderCon2008 visit, cast meeting and transfers. All other expenses relating to acceptance of Grand Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are responsibility of Grand Prize winner and guest. Certain travel restrictions may apply. Travel must be completed on dates specified by Sponsor or Grand Prize will be forfeited. Specifics of Grand Prize travel package are subject to availability and Sponsor’s sole discretion. Complete terms and conditions of Grand Prize trip will be furnished with prize notification. Travel must be made through Sponsor’s agent on a carrier of Sponsor’s choice. Reservations are subject to availability. Travel restrictions and blackout dates may apply. Winner and guest must travel on the same itinerary and are responsible for obtaining all required travel documents. If winner resides within a 100 mile radius of San Francisco, ground transportation may be provided for winner and guest in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Travel companion of trip winner must be 18 years of age or older or must have reached the age of majority in his or her state of residence as of date of travel and will be required to execute and return a liability/publicity release (unless prohibited by law) prior to ticketing. Administrator, and/or any other relevant party, reserves the right to remove or to deny entry to any winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at WonderCon2008. Sponsor does not guarantee that the Grand Prize winner (and guest) will meet members of the Jericho cast. Estimated retail value of Grand Prize is $3,500. Actual value may vary based on place of departure and dates of travel. Ten (10) First Prizes: A $100 American Express Gift Check. Estimated total retail value of all prizes $4,500. Prizes are non-transferable; no substitutions or cash awards allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. All details of prizes not specified herein shall be determined solely by Sponsor.

7. Prize Taxes. All federal, state or other tax liabilities arising from this Sweepstakes will be the sole responsibility of the Prize Winners.

8. Affidavit of Eligibility/Liability Release and Publicity Release. Potential Winners will be required to sign and properly execute the following documents and return them via facsimile (and subsequently by mail) to Marden-Kane within 24 hours of receipt: (1) an Affidavit of Eligibility and Liability Waiver; (2) where lawful, a consent to publicity. If any documents sent to a Potential Winner by any means are returned as undeliverable or if a Potential Winner fails to properly execute and return all documents described herein in the time noted, or if Potential Winner is found not to be eligible or not in compliance with these Official Rules the Grand Prize will be forfeited and an alternate Potential Winner will be selected and contacted in accordance with these Official Rules. The Sponsor has contracted with Marden-Kane Inc., a marketing services organization, which will be responsible for verification of eligibility and fulfillment of the prizes.

9. Travel Companion Liability and Publicity Release. Grand Prize Winner's travel companion must complete, execute and return a Travel Companion Liability Release, a Travel Companion Publicity Release (collectively, the "Travel Companion Release Forms") prior to issuance of travel documents. Failure to return Travel Companion Release Forms timely may prevent travel companion of Grand Prize winner from participating in the trip.

10. Publicity Release Terms. Except where prohibited by law, the Grand Prize Winner's acceptance of the Grand Prize constitutes permission for the Sweepstakes Entities to use Grand Prize Winner's name, photograph, likeness, statements, biographical information, voice, video or film footage and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation.

11. Improper Conduct. Administrator, in its sole discretion, may disqualify any entrant from participation in the use of any or all portions of this Sweepstakes, and refuse to award any Prize, if entrant engages in any conduct Administrator deems to be improper, unfair or otherwise adverse to the operation of the Sweepstakes or detrimental to other entrants of the Sweepstakes. Such improper conduct, includes, without limitation, falsifying personal information required during entrant registration or prize claim, violating any term or condition stated herein, accumulating entries through methods such as automated computer scripts or any other programming techniques, allowing others to use entrant's personal information for the purpose of accumulating entries, or intentionally trying to defraud, reverse engineer, disassemble or otherwise tamper with the computer programs in connection with this Sweepstakes. Entrants agree that Administrator may void any part of a prize that entrant may have won and/or require the return of any part of prize that entrant may have won as a result of such improper conduct. Entrant further acknowledges that any forfeiture of a prize and/or return of a prize shall in no way prevent Administrator from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct. WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Integrity of Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures to telephone or computer systems and related networks, or any other causes which Administrator, in the sole opinion of Administrator, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Administrator reserves the right at its sole discretion to cancel, terminate, modify or suspend this Sweepstakes and select the Prize Winners from entries received prior to the action taken or in such other manner as Administrator may deem fair and appropriate.

13. Lost or Corrupted Entries. The Sweepstakes Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic, Internet or telephone hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by end users of the cbs.com Service, tampering, hacking, or by any of the equipment or programming associated with or utilized in this Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Sweepstakes.

14. Damaged Property. Sweepstakes Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to entrants' or to any other person's computer or property related to or resulting from participating in this Sweepstakes or downloading materials from this Sweepstakes.

15. Sweepstakes Errors. The Sweepstakes Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Sweepstakes; (b) in any related advertising or promotions of this Sweepstakes; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrator reserves the right to modify these Official Rules for clarification purposes or to correct any such error(s) without materially affecting the terms and conditions of the Sweepstakes.

16. Grand Prize Winner, Grand Prize and First Prizes. The Sweepstakes Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of any Prize Winner, or the distribution of any Prize, the acceptance/possession and/or use/misuse of any part of any Prize and/or any injury or damage to entrant's or third person's property related to or resulting from any part of the any Prize or any part of this Sweepstakes.

17. Release and Indemnity.Each entrant in this Sweepstakes, including, without limitation, the Prize Winners, hereby releases and agrees to hold harmless the Sweepstakes Entities their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in this Sweepstakes and participation in any activity related to this Sweepstakes.

18. Limitation of Liability. IN NO EVENT WILL THE SWEEPSTAKES ENTITIES THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SWEEPSTAKES, THE GRAND PRIZE OR FIRST PRIZE(S) OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SWEEPSTAKES. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 19. Disclaimer of Warranties. THE SWEEPSTAKES AND PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

20. Identity Disputes. In the event of a dispute as to the identity of a potential winner based on a phone number or email address, the entry will be deemed submitted by the Authorized Account Holder of the email address or telephone number submitted at the time of entry. For the purposes of these official rules the “Authorized Account Holder” is defined as the person assigned to an email address or telephone number by an Internet access provider, online service provider, telephone service provider (landline or mobile), or other organization responsible for assigning email addresses for the domain associated with the email address or telephone numbers for the telephone number in question.

21. Binding Arbitration. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or this Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York, County of New York, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

22. Governing Law and Jurisdiction. This promotion is governed by US law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Administrator in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 21 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of New York, in the City of New York, County of New York.
